The Group has a unitary Board structure that comprises a majority of non-executive directors. The responsibility for the functioning of the Board and the executive responsibility for managing the business is separated.

The Board is responsible for the strategic direction of the Group and maintains control over all material matters affecting the Group, including operational performance and management; the determination of policy and processes to ensure the integrity of the Group’s risk management and internal controls; as well as the selection, orientation, and evaluation of directors.
